THE FOUNDATION MAY LAWFULLY BE CARRIED ON BY A CORPORATION FORMED UNDER THE LAWS OF NORTH CAROLINA AND WHICH ARE NOT INCONSISTENT WITH THE FOUNDATION'S QUALIFICATION AS AN ORGANIZATION DESCRIBED IN SECTION 501(C)(3) OF THE CODE.
